Agreement to Terms

By accessing or using VibeAPI services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service. You represent that you are at least 18 years of age. If you are under 18, you may not use the Service.

Use of Service

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your API keys and for all activities that occur under your account.

Acceptable Use Policy

You agree not to use the service to: violate any laws, infringe on intellectual property rights, transmit harmful code, spam, or engage in any activity that disrupts or interferes with the service.

API Usage and Limits

Your use of our API is subject to rate limits, usage quotas, and fair use policies based on your subscription plan. We reserve the right to modify, suspend, or terminate API access for abuse, violation of these Terms, or technical issues. Credits and usage quotas are non-transferable and expire according to your subscription terms.

Payment and Billing

Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as required by law. You are responsible for any taxes applicable to your use of the service. We reserve the right to change our pricing upon reasonable notice, and such changes will apply to subsequent billing cycles.

Intellectual Property

The service and its original content, features, and functionality are owned by VibeAPI and are protected by international copyright, trademark, and other intellectual property laws.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

Disclaimer of Warranties

The service is provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, or error-free.

Limitation of Liability

In no event shall VibeAPI be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

Indemnification

You agree to indemnify, defend, and hold harmless VibeAPI, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the service, violation of these Terms, or infringement of any rights of another party.

User Content and Data

You retain ownership of any content or data you create, upload, or transmit through the service. By using the service, you grant VibeAPI a limited, non-exclusive license to store, process, and transmit your content solely for the purpose of providing the service. Upon termination, we will delete your data within 30 days, and you are responsible for backing up your data prior to termination.

Service Availability

We strive to maintain service availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that may temporarily interrupt service. We are not liable for any damages resulting from service interruptions.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Taiwan, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in Taiwan, in accordance with the Arbitration Act of Taiwan. The arbitration shall be conducted in Chinese. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the service after any changes constitutes your acceptance of the revised Terms.
